To ensure advising and guiding of SADAFCO’s management in legal affairs issues in line with relevant legislation and company policies in order to attain and retain the optimal legal status for the company, to control legal risks and to support in decision making where legal issues are involved.

 

Key Accountabilities

 

Company codes, policies and guidelines

Develop, implement and ensure adherence to (legal) company codes and guidelines (governance), in line with relevant legislation and company policies, in order to ensure adherence to relevant laws and to minimize legal risks. Draft and update Policies & Procedures when necessary/ needed according to business needs.

 

Contracts

Guide contracting with 3rd parties and draft and review contracts in the best interest of SADAFCO, design templates for contracts in general, and for complex and risky contracts in particular, in order to come to contractual agreements with 3rd parties while minimizing legal risk.

 

Licenses and permits

Discuss development of the business activities internally and externally, in order to signal, acquire and renew the required licenses and permits for SADAFCO’s activities, in alignment with the Manager Government & Public Relations.

 

Legal advice

Ensure provision of internal legal advice and counseling to minimize e.g. legal risks, liabilities and exposures, by giving accurate and timely counsel to concerned parties in a variety of legal topics (e.g. (labor) law, partnerships, international ventures, corporate finance)

 

Legal procedures

Plan, prepare and ensure execution of legal procedures, sometimes in co-operation with external legal professionals, aimed at effective and efficient reconciliation of lawsuits that SADAFCO is involved in. Represent SADAFCO in court.

 

Administration & reporting

Set up and maintain the administration and records for all SADAFCO’s contracts and legal procedures, and report on progress. Manage the proper filing of all SADAFCO documents such as, though not limited to, contracts, licenses, permits, trademark registrations, board resolutions and statutory documents, pounding acts, compliance documents and governance documents.

 

Law firms and other relevant parties

Select, contract and maintain relationships with law firms in KSA and abroad, in order to ensure quality external legal advice when required. Establish and maintain relationships with other relevant parties, like public authorities and regulators or relevant associations.

 

Investigation

Ensure and manage internal investigations for cases of malpractice and drafting of reports with findings and proposals for corrective measures, disciplinary actions and/or sanctions to management.

 

Legal developments

Ensure being informed about developments and changes in legislation and jurisprudence as relevant for SADAFCO’s business, for up-to-date advice and to anticipate on consequences of legislation changes. Follow and report updates and changes in legislation.

 

CMA/ AGM/ Board Resolutions

Represent SADAFCO at Capital Market Authority (CMA) meetings in order to be informed about the latest developments, views and changes. Participate in the preparation of the Annual General Meeting (AGM), be present during the AGM and follow-up after the AGM. Draft and edit Board Resolutions and follow up accordingly.

 

General Management

Manage the legal department in order to achieve the purpose of the department and to manage and coach the legal staff in their work and in their professional development.
